Welcome to Membrain, a building protection platform owned and operated by Membrain Infrasolutions Private Limited (“Company”, “Membrain”, “we”, “our”, “us”).
These Terms & Conditions (“Terms”) govern your access to and use of the Membrain mobile application, website, and digital platform (collectively, the “Platform”), including assessment tools, recommendations, execution coordination, digital records, and related features.
By accessing the Platform, initiating an assessment, accepting a recommendation, making a payment, or participating in any execution coordinated through Membrain, you agree to be bound by these Terms.
1. Scope of the Platform
Membrain operates as a building protection platform that enables structured assessment, system recommendations, execution governance, and digital documentation for building protection works. Execution of recommended protection systems may be carried out by: Membrain’s internal execution teams, and/or Empanelled third-party execution partners, as determined by project requirements, location, and availability. Membrain governs execution workflows, quality checkpoints, and documentation but does not guarantee outcomes beyond the agreed scope and conditions.
2. Recommendations & Validity
All system recommendations issued through the Platform are based on available inputs, assessments, and prevailing site conditions. Recommendations are valid for 15 (fifteen) days from the date of issue unless stated otherwise. Membrain reserves the right to revise or withdraw recommendations due to: Change in site conditions Material availability Price fluctuations Assessment updates
3. Payments
Unless expressly agreed otherwise in writing: 100% advance payment is required prior to commencement of execution. Execution shall begin only after confirmation of payment. Payments are non-refundable once execution has commenced, except where explicitly agreed in writing by Membrain.
4. Taxes
All prices are exclusive of applicable taxes unless stated otherwise. GST and statutory taxes shall be charged as per prevailing law. Any tax changes after recommendation issuance shall be borne by the client.
5. Scope of Execution & Variations
Execution is limited strictly to the scope defined in the accepted recommendation. Any additional work arising from concealed conditions, unforeseen site issues, or scope changes shall require: Revised assessment (if required) Written approval of a revised recommendation Additional payment
6. Site Readiness & Client Responsibilities
The client is responsible for ensuring: Unrestricted site access during agreed execution hours Clean and prepared surfaces Availability of electricity, water, and safe storage Safe working conditions Delays or damages arising from non-compliance shall not be attributable to Membrain.
7. Execution Timelines
All timelines are indicative. Execution schedules depend on: Site readiness Weather conditions Material availability Timely payments Membrain shall not be liable for delays caused by client-side issues or force majeure events.
8. Warranty
Warranty coverage applies only to treated areas and systems as per the issued digital warranty card. Warranty does not apply in cases including but not limited to: Structural movement or settlement Water stagnation or flooding Natural calamities Improper maintenance Unauthorized alterations or third-party interventions Warranty claims are subject to inspection and validation.
9. Exclusions
Unless expressly included, the following are excluded: Structural or civil repair works Major crack rectification Plumbing, electrical, or mechanical works Any unrelated finishing or remedial activities
10. Quality Governance
Materials used shall be genuine and applied in accordance with manufacturer and system guidelines. Membrain reserves the right to use technically equivalent materials based on suitability and availability.
11. Cancellation & Rescheduling
Cancellations after confirmation may attract charges covering mobilization, materials, and administrative costs. Rescheduling is subject to availability and may impact timelines.
12. Refund Policy
Refunds, if applicable, shall be processed after applicable deductions and within a reasonable timeframe as per internal policy. No refunds shall be issued after commencement of execution.
13. Role & Limitation of Responsibility
Membrain acts as a platform facilitator and execution governance entity. While Membrain exercises quality oversight, it shall not be liable for: Acts outside the agreed scope Unauthorized modifications Third-party interventions beyond governance control
14. AI Diagnosis & Digital Tools
AI-assisted diagnosis and insights are indicative and intended to support decision-making. They do not replace engineering judgment. Final outcomes may vary based on site conditions and execution variables.
15. Data & Media Usage
Client-provided media and site data may be used for: Assessment and quality validation Internal analytics and improvement Platform training purposes Personal data shall not be publicly disclosed without consent.
16. Intellectual Property
All Platform content, reports, system designs, AI outputs, and documentation remain the intellectual property of Membrain Infrasolutions Private Limited.
17. Limitation of Liability
Membrain shall not be liable for indirect or consequential damages. Total liability, if any, shall not exceed the value of execution governed under the accepted recommendation.
18. Force Majeure
Membrain shall not be liable for delays or failures due to events beyond reasonable control, including natural disasters, strikes, pandemics, or governmental actions.
19. Amendments
Membrain may amend these Terms at any time. Updated Terms shall be effective upon publication on the Platform.
20. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts at Vadodara, Gujarat shall have exclusive jurisdiction.
21. Acceptance
Use of the Platform, acceptance of recommendations, or initiation of execution constitutes acceptance of these Terms.
